Why this agreement exists.

This document explains what we do at Solace Prosperity Health (“SPH”), the risks that may come with those activities, and your choices and responsibilities. By signing, you confirm you understand and accept these risks and you agree to the terms below.

1) Who’s involved

Provider: Solace Prosperity Health, its owners, officers, employees, contractors, volunteers, and agents (collectively, “SPH”).
Participant: The person signing this agreement (“you” or “your”).

2) What you may do with SPH (“Activities”)

SPH offers wellness and mind-body services that may include: breathwork, meditation, sound baths, yoga or gentle movement, Pilates-style stretching, mindfulness/visualization, workshops/retreats and related excursions, hiking or outdoor movement, swimming, singing/chanting, cacao or similar ceremonial experiences, and other wellness classes or sessions. Activities can occur in-studio, on-site at community/corporate locations, outdoors, online/virtual, or at retreat venues.

3) Your health & personal responsibility

• You agree you are physically and psychologically able to participate, or you’ve consulted a licensed clinician who says it’s appropriate for you.
• You will listen to your body and may pause or stop at any time. If you feel pain, dizziness, panic, shortness of breath, or distress, you’ll notify the facilitator immediately and stop until you feel safe to continue.
• You will follow all written and verbal safety instructions and use good judgment at all times.

4) Risks you should understand

Participation can involve inherent and sometimes unpredictable risks, including but not limited to: muscle soreness/strain, sprain, falls, impact injuries, anxiety or trauma triggers, changes in blood pressure or heart rate, dizziness/fainting, dehydration, environmental hazards, and rare but serious outcomes. Outdoor/retreat settings may increase risks due to terrain, travel, weather, and limited immediate medical access. No activity is completely risk-free.

5) Your voluntary choice & assumption of risk

You are choosing freely to participate and you accept and assume all risks, known and unknown, arising from the Activities and locations where they occur. You understand results are not guaranteed and experiences may vary.

6) Release of claims; indemnification

To the fullest extent permitted by California law, you agree to release and hold harmless SPH from any and all claims, demands, or causes of action for injury, illness, property loss, or death arising out of or related to your participation in the Activities, including claims based on ordinary negligence, but excluding claims that cannot legally be waived (e.g., gross negligence or willful misconduct); and to indemnify and defend SPH against claims brought by you or any third party that are connected to your participation and your own acts or omissions.

7) Communicable diseases (including COVID-19)

You understand participation may expose you to contagious illnesses. You assume these risks and agree SPH is not liable for related injury or loss to the extent permitted by law. SPH may follow health guidelines and ask you to comply (e.g., rescheduling if ill).

8) Emergencies & medical care

If an urgent situation arises, you authorize SPH to seek first aid and emergency care for you. You remain financially responsible for any medical costs.

9) Minors (under 18 in California)

A parent or legal guardian must sign for a minor participant and is responsible for ensuring the minor follows safety instructions. Some Activities may not be available to minors.

10) Photos & video

• I consent to SPH capturing and using images/video of me for informational or promotional purposes.
• I do not consent. I will notify the facilitator before class and avoid group photos.

11) General legal terms

Governing law & venue: California law applies; venue is the California county where the Activity occurs.
Severability: If any part of this agreement is invalid, the rest remains in effect.
Entire agreement & changes: This is the entire understanding about these topics; it can only be changed by a written document signed by you and SPH.
Electronic signature: A typed or electronic signature has the same effect as an original.
Headings: For convenience only.
